REC Limited, the state-run infrastructure financing company, has successfully issued India's first pilot tokenised corporate bond under the Securities and Exchange Board of India's Regulatory Sandbox Framework, according to disclosures reported on September 7, 2026. The issuance represents one of the earliest concrete tests of blockchain-based debt-market infrastructure within a formal Indian regulatory sandbox, a mechanism SEBI has used to allow controlled experimentation with new financial-market technologies before broader rules are finalised.

Tokenisation — the process of representing ownership of a financial instrument as a digital token on a distributed ledger — has been positioned by proponents as a way to improve settlement speed, reduce reconciliation costs and widen access to fixed-income instruments by enabling fractional ownership. For a large public-sector issuer like REC, which routinely raises capital through the bond market to fund power-sector and broader infrastructure lending, testing tokenised issuance within a regulatory sandbox allows the company and the regulator to jointly assess operational, custody and settlement questions before tokenised bonds are opened to wider market participation.

SEBI's Regulatory Sandbox Framework has increasingly become a preferred route for Indian market infrastructure innovation, allowing entities to test products with real transactions under regulatory supervision rather than requiring rules to be fully codified in advance. REC's pilot issuance will likely be closely studied by other public-sector undertakings and private issuers weighing whether tokenised debt instruments can meaningfully lower the cost or friction of bond issuance in a market that, despite India's rapid equity-market digitisation, has remained comparatively traditional in its settlement and custody infrastructure.

The successful pilot adds India to a small but growing list of markets globally experimenting with tokenised sovereign and quasi-sovereign debt instruments, alongside similar initiatives in Singapore, the European Union and parts of the Gulf. Whether REC's experience translates into a broader regulatory framework for tokenised bond issuance across India's public and private debt markets will depend on how the sandbox pilot performs across subsequent settlement cycles, and on the appetite of both regulators and institutional investors to move beyond pilot-stage experimentation.
